Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you ("you" or "User") and Chrono Travel LLC, which operates Gridzu ("Gridzu," "Chrono Travel," "we," "us," or "our"), governing your access to and use of the Gridzu desktop application, the gridzu.com website, the account service, and any related software, updates, and services (together, the "Service"). By creating an account, downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old (or the age of legal majority where you live) and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements, that the information you provide is accurate, and that you are not barred from using the Service under any applicable law or sanctions program.

2. Accounts

• A free account is required to use the app. You must provide an accurate email address and keep your credentials confidential.
• You are responsible for all activity that occurs under your account. One account is for one individual; do not share, sell, or transfer accounts.
• Notify us promptly of any unauthorized use of your account. We are not liable for losses caused by unauthorized use.
• We may suspend, restrict, or terminate any account, at any time and without notice, that we reasonably believe violates these Terms, abuses the Service, or is used to redistribute the app.

3. License and restrictions

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to download and use the Gridzu app for your own lawful purposes. This is a license, not a sale; we retain all rights not expressly granted.

You agree that you will not, and will not permit anyone else to:

• copy, modify, distribute, sell, rent, lease, sublicense, or otherwise commercialize the Service or the app;
• reverse engineer, decompile, disassemble, or attempt to derive the source code, except to the limited extent this restriction is prohibited by applicable law;
• circumvent, disable, or interfere with the account requirement, security, licensing, or any feature of the Service;
• remove, obscure, or alter any proprietary notices;
• use the Service to build or assist a competing product, or for benchmarking made public without our consent;
• access the Service by any automated means, or scrape, probe, or attack the Service or the servers running it; or
• use the Service in any way that is unlawful, infringing, harmful, or that violates the rights of others.

4. Your data and content

You retain all rights to the files, spreadsheets, and data you open, create, or process in Gridzu ("Your Data"). We do not claim ownership of Your Data and do not grant ourselves any license to it.

Gridzu processes Your Data locally on your own device. Our servers do not receive or store the contents of your files. The only information our account service stores is what is necessary to run your account — such as your email address, a securely hashed password, and basic account status. If you choose to use optional integrations (for example, syncing through your own GitHub account), data you send through those integrations is handled under the third party's terms, not ours.

You are solely responsible for Your Data, including its accuracy, legality, and backups, and for ensuring you have the right to process it. Because Your Data lives on your device, you must keep your own backups; do not use Gridzu as the sole copy of anything important, and independently verify results before relying on them.

5. Privacy

Our handling of the limited account information we collect is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to that handling.

6. Third-party services and components

The Service may interoperate with or include third-party services and software — for example, "Continue with Google" or "Continue with Microsoft" sign-in, optional GitHub synchronization, and open-source components. Your use of third-party services is governed by their terms, and we are not responsible or liable for third-party services, their availability, or their acts or omissions. Open-source components remain subject to their own licenses.

7. Updates and changes to the Service

The Service is under active development. We may add, change, suspend, or discontinue features at any time, and the app may download and install updates automatically to keep it working and secure. We do not guarantee any particular feature, result, availability, or uptime.

8. Fees, subscriptions, cancellation and refunds

The Gridzu app is free to use. Plugins are optional add-ons sold separately, each as its own monthly subscription. The price of each is shown before you buy and is charged in US dollars.

• Billing. Payments are processed by Stripe; we do not see or store your card number. A subscription is charged when you buy it and then monthly on the same day, automatically, until it is cancelled.
• Cancellation. You may cancel at any time from your billing page in the app, without notice and without giving a reason. Cancelling stops the next payment; the plugin remains available to you until the end of the period already paid for.
• Refunds. We will refund your first payment for a plugin in full if you ask within 14 days of it, and will refund an unintended renewal if you ask within 14 days of that charge and have not used the plugin since. Beyond those, we do not refund unused parts of a period, except where we discontinue a plugin or close your account other than for breach of these Terms, in which case we refund the unused part. • Failed payments. If a payment fails, the plugin stops working until payment succeeds, at which point access resumes automatically.
• Price changes. We will give you at least 30 days' notice by email before a price change affects you, and it will apply only from your next renewal after that notice. You may cancel before then.
• Taxes. Prices are exclusive of sales tax and VAT. Where we are required to collect them, they are shown at checkout before you pay. You are responsible for any other taxes arising from your use of the Service.

Cancelling or losing access to a plugin does not affect your own files. Gridzu stores your tables on your own computer, and tables a plugin worked with remain ordinary Gridzu tables that stay fully usable without it.

9. Intellectual property

The Service, including the app, website, software, design, and the "Gridzu" name and logo, is owned by us and our licensors and is protected by intellectual-property and other laws. Except for the limited license above, these Terms grant you no rights in our intellectual property.

10. Feedback

If you send us ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without any obligation or compensation to you.

11. Disclaimer of warranties

The Service is provided "as is" and "as available," with all faults and without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or accurate, or that any data will be preserved, processed correctly, or free from loss or corruption. You use the Service entirely at your own risk. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, in no event will Gridzu (Chrono Travel LLC) or its members, managers, employees, affiliates, licensors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or other intangible losses, arising out of or relating to the Service or these Terms, whether based in contract, tort (including negligence), strict liability, or any other theory, and even if we have been advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the total amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Gridzu (Chrono Travel LLC) and its members, managers, employees, affiliates, licensors, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Data or the data you process; (c) your violation of these Terms or any law; or (d) your violation of any third party's rights.

14. Dispute resolution, binding arbitration, and class-action waiver

Please read this section carefully — it affects your legal rights, including your right to go to court and to have a jury trial.

Informal resolution first. Before starting any formal proceeding, you agree to contact us at support@gridzu.com and try to resolve the dispute informally for at least thirty (30) days.

Binding individual arbitration. Except as noted below, any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by final and binding arbitration on an individual basis, administered by a recognized arbitration provider (such as the American Arbitration Association) under its applicable consumer rules. Judgment on the award may be entered in any court with jurisdiction.

Class-action and jury-trial waiver. You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims. You and we waive any right to a jury trial.

Exceptions. Either party may (a) bring an individual claim in small-claims court, and (b) seek injunctive or equitable relief in court to protect intellectual-property or confidentiality rights.

30-day opt-out. You may opt out of this arbitration agreement by emailing support@gridzu.com within thirty (30) days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

15. Governing law and venue

These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-laws rules, and by the U.S. Federal Arbitration Act as to Section 14. For any matter not subject to arbitration, you and we submit to the exclusive jurisdiction and venue of the state and federal courts located in the State of Nevada, and waive any objection to that venue.

16. Term and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time if you violate these Terms or if we discontinue the Service. Upon termination, your license ends and you must stop using the app. Sections that by their nature should survive termination — including data responsibility, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law — will survive.

17. Export controls and compliance

You represent that you are not located in, and will not use the Service in, any country or by any person subject to U.S. or other applicable export restrictions or sanctions, and that you will comply with all applicable export-control and sanctions laws.

18. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and post the revised Terms here. Material changes may also be signaled in the app or by other reasonable means. Your continued use of the Service after changes take effect means you accept the revised Terms.

19. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the rest remains in effect and the unenforceable provision will be limited or removed to the minimum extent necessary (except that, if the class-action waiver in Section 14 is found unenforceable, the arbitration agreement will be void as to that claim). Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. We are not liable for delays or failures caused by events beyond our reasonable control. Headings are for convenience only.
